These Terms and Conditions ("Terms") govern the access to and use of the products, services, platforms, applications, websites and APIs, offered by Ultima Wealth ("Ultima Wealth", "Company", "we", "our", or "us") acting as a Global Access Provider ("GAP") registered with the International Financial Services Centre Authority ("IFSCA") vide registration number IFSCA/GAP/BD/2025-26/001.
Ultima Wealth provides global investment access, brokerage, execution support, onboarding, settlement facilitation, reporting, custody coordination, technology infrastructure, and related services either directly or through affiliates and authorized third parties.
The Client must be legally competent, at least 18 years old, and compliant with applicable laws. Ultima Wealth may reject, suspend, or terminate services based on compliance, sanctions, AML, operational, or regulatory concerns. Services are not intended for persons located in jurisdictions where access, distribution, or use of such services would violate applicable laws or regulations.
All services are subject to IFSCA regulations, exchange rules, AML obligations, FATCA, CRS, sanctions laws, anti-fraud obligations, and other applicable legal requirements. Ultima Wealth may request additional documentation, monitor transactions, or restrict services for compliance purposes.
Unless expressly agreed in writing, Ultima Wealth does not provide investment advice, fiduciary services, tax advice, portfolio management, or personalized recommendations. All investment decisions are solely the responsibility of the Client.
The Client shall maintain confidentiality of credentials, comply with exchange control regulations including LRS requirements, maintain sufficient balances and margin, independently assess investment risks, and promptly notify Ultima Wealth of unauthorized activity.
Investments in securities, derivatives, foreign assets, and international markets involve market risk, currency risk, settlement risk, counterparty risk, geopolitical risk, technology risk, and regulatory risk. The Client acknowledges that custody, execution, settlement, and market access services may involve third-party intermediaries and infrastructure providers. Past performance does not guarantee future returns.
Orders are subject to market conditions, operational feasibility, exchange availability, and regulatory restrictions. Ultima Wealth does not guarantee execution at specific prices or times and may reject or cancel orders due to operational, technical, compliance, or risk-related reasons.
The Client acknowledges risks associated with internet-based trading including outages, latency, cyber incidents, connectivity failures, delayed executions, stale market data, and exchange disruptions. Ultima Wealth shall not be liable for losses arising from such events beyond reasonable control.
Where APIs are provided, the Client shall not misuse, reverse engineer, overload, or compromise systems. Ultima Wealth may suspend or revoke API access at its discretion.
The Client agrees to pay brokerage, custody fees, taxes, remittance charges, FX conversion charges, regulatory fees, and all other applicable charges communicated by Ultima Wealth.
Ultima Wealth may liquidate positions, restrict trading, debit accounts, or exercise lien and set-off rights to recover unpaid obligations, margin shortfalls, taxes, penalties, or settlement dues.
International investing involves currency fluctuations, remittance delays, repatriation restrictions, and foreign exchange risks. The Client remains solely responsible for compliance with applicable foreign exchange regulations.
The Client is solely responsible for tax reporting, withholding obligations, foreign asset disclosures, and compliance with applicable tax laws. Ultima Wealth does not provide tax advice.
Ultima Wealth may rely on third-party brokers, exchanges, custodians, technology providers, banks, and intermediaries. Ultima Wealth shall not be liable for failures attributable to third parties beyond reasonable control.
The Client consents to collection, processing, transfer, and storage of personal and transactional information for onboarding, compliance, operational, supervisory, reporting, and regulatory purposes.
All trademarks, systems, APIs, software, reports, and content associated with Ultima Wealth remain proprietary to Ultima Wealth or its licensors. Unauthorized use is prohibited.
Ultima Wealth shall not be liable for delays or failures arising from events beyond reasonable control including cyberattacks, exchange outages, natural disasters, telecommunications failures, banking interruptions, war, sanctions, governmental actions, or regulatory restrictions.
To the maximum extent permitted under applicable law, Ultima Wealth shall not be liable for indirect, incidental, consequential, or punitive damages including loss of profits, opportunity, data, or business interruption. Ultima Wealth shall not be liable for losses arising from market fluctuations, currency movements, exchange actions, third-party failures, regulatory actions, or investment decisions made by the Client.
The Client agrees to indemnify and hold harmless Ultima Wealth, its affiliates, directors, officers, employees, and service providers from claims, liabilities, losses, penalties, or damages arising from breach of these Terms, misuse of services, fraud, regulatory violations, or unlawful conduct.
Inactive or dormant accounts may be subject to additional verification, restrictions, or compliance refresh requirements prior to reactivation. Ultima Wealth may freeze or restrict dormant accounts until reactivation requirements are completed.
Ultima Wealth may suspend or terminate services for breach of Terms, suspicious activities, AML concerns, sanctions risks, fraud prevention, regulatory requirements, or operational reasons. Clauses relating to indemnity, limitation of liability, regulatory compliance, data usage, outstanding obligations, and dispute resolution shall survive termination of the relationship.
The Client consents to receive communications electronically through email, SMS, website notifications, application notifications, telephone, or other digital means. The Client agrees that electronic acceptance of these Terms constitutes valid and binding consent. Statements, trade confirms, and electronic records maintained by Ultima Wealth shall be deemed conclusive and binding unless disputed within the prescribed timeline communicated by Ultima Wealth. The Client acknowledges and consents that communications, calls, chats, emails, and electronic interactions may be monitored or recorded for compliance, security, audit, training, and regulatory purposes.
Clients may contact support@viewtrade.in for any support requests or queries. In case of any grievances or complaints, clients may contact grievance@viewtrade.in. Ultima Wealth shall endeavor to address complaints within reasonable timelines.
These Terms shall be governed by laws applicable within India and the IFSC. Disputes shall be subject to exclusive jurisdiction of competent courts and forums located in Gandhinagar, Gujarat, India.
Ultima Wealth reserves the right to modify or update these Terms at any time. Updated Terms become effective upon publication or official communication.
